Seller Agreement

This Seller Agreement ("Agreement") is between you ("Seller") and Gigsouk. By registering as a Seller on the Platform, you agree to the terms below in addition to our general Terms & Conditions.

1. Becoming a Seller

Eligibility:

You must be at least 18 years old.

You must provide accurate identity and payment information.

Gigsouk reserves the right to approve or reject Seller applications at its discretion.

Onboarding:

Complete your Seller profile with a professional description, portfolio, and relevant skills.

Verify your identity and payment details for payout processing.

Agree to comply with all Gigsouk policies, including Content Guidelines and this Agreement.

2. Listing Products & Services

Product Listings:

All listings must include accurate titles, descriptions, previews, and pricing.

Products must be your original work or you must have the legal right to sell them.

Listings must comply with our Content Guidelines — no plagiarized, illegal, or harmful Content.

Service Listings:

Clearly define the scope, deliverables, timeline, and pricing.

Set realistic delivery times you can consistently meet.

Respond to Buyer inquiries within 24 hours during business days.

Pricing:

You set your own prices. Gigsouk may suggest pricing guidance.

Prices must include all fees charged to the Buyer (no hidden charges).

3. Platform Commission & Fees

Gigsouk charges a platform commission on each completed sale. The current commission rate is displayed in your Seller Dashboard and may be updated with 30 days' notice.

Payment processing fees (charged by Razorpay) are borne by the Seller and deducted from the sale amount.

There are no listing fees — you can list products for free.

Promotional features or featured listings may incur additional charges, disclosed at the time of purchase.

4. Payouts

Payouts are processed on a bi-weekly cycle (1st and 15th of each month).

A 7-day clearance period applies from the date the order is marked complete before funds become available for payout.

Minimum payout threshold: ₹500 (or equivalent in your currency).

Payouts are sent via bank transfer or other supported methods in your region.

You are responsible for providing accurate banking details. Gigsouk is not liable for payouts sent to incorrect account information.

5. Order Fulfillment

Digital Products:

Products must be delivered instantly upon purchase via the Platform's download system.

Ensure all files are current, virus-free, and match the listing description.

Freelance Services:

Deliver work within the agreed timeline.

Communicate proactively with Buyers about progress.

Provide revisions as specified in your listing (e.g., "2 revisions included").

If you cannot fulfill an order, cancel it promptly and notify the Buyer.

Quality Standards:

Maintain a minimum 4.0 star rating to remain in good standing.

Sellers with ratings below 3.5 may be subject to review or suspension.

6. Intellectual Property

You warrant that all Content you list is your original work or that you have full rights to sell it.

You retain copyright ownership of your Content.

Upon sale, you grant the Buyer a license to use the Content as specified in your listing.

You grant Gigsouk a non-exclusive, worldwide license to display, promote, and distribute your Content on the Platform and in marketing materials.

If a valid IP infringement claim is made against your Content, Gigsouk may remove the listing immediately and withhold associated payouts pending resolution.

7. Taxes

You are solely responsible for reporting and remitting all applicable taxes on your earnings, including income tax, GST/VAT, or any other applicable taxes in your jurisdiction.

Gigsouk may collect and remit taxes where legally required (e.g., TDS in India).

Gigsouk will provide transaction reports and invoices through your Seller Dashboard to assist with tax compliance.

If required by law, you must provide valid tax identification documents (PAN, GSTIN, etc.).

8. Prohibited Activities

As a Seller, you must not:

List products or services you do not have the right to sell.

Deliver work that is plagiarized, AI-generated without disclosure, or misrepresented.

Manipulate ratings, reviews, or sales metrics.

Contact Buyers to conduct transactions outside the Platform.

Use multiple accounts to artificially boost listings.

Share, resell, or redistribute Buyer data.

Violate applicable laws or regulations.

9. Account Standing & Levels

Gigsouk may implement a Seller Level system based on:

Sales volume and revenue.

Response time and order completion rate.

Customer ratings and reviews.

Policy compliance history.

Higher-level Sellers may receive benefits such as reduced commission rates, featured placement, and priority support. Gigsouk reserves the right to adjust levels and benefits at any time.

10. Suspension & Termination

Gigsouk may suspend or terminate your Seller account if:

You violate this Agreement or the Terms & Conditions.

Multiple Buyers report poor quality or fraudulent activity.

Your rating falls below the minimum threshold.

You fail to fulfill orders without valid justification.

Upon termination:

Pending payouts for completed, non-disputed orders will be released after the standard clearance period.

Any disputed amounts will be held until resolution.

You must cease using the Gigsouk name, branding, and Platform immediately.

11. Relationship

You are an independent contractor, not an employee, partner, or agent of Gigsouk. Nothing in this Agreement creates an employment relationship. You are responsible for your own tools, workspace, and business expenses.

12. Modifications

Gigsouk may update this Agreement with 30 days' notice via email or your Seller Dashboard. Continued use of the Platform after the effective date constitutes acceptance. If you disagree with changes, you may close your Seller account before the effective date.
